1. Property Rights and Copyright:

1.1 Upon full payment, the ownership of the finished video product transfers to the Client. However, this excludes raw files and project files. DUCOR reserves the right to use the finished product as well as all raw materials for marketing purposes, unless otherwise explicitly agreed upon in writing between the parties.

2. Confidentiality:

2.1 Both parties commit to treating all information regarding the agreement and the work as confidential. This obligation of confidentiality also applies after the termination of the agreement.

3. Disclaimer:

3.1 DUCOR is not liable for damages caused by third parties, force majeure, or errors not directly attributable to DUCOR.

4. Approval Process:

4.1 The Client must approve the various stages of the project within agreed deadlines for DUCOR to continue the work. Lack of timely feedback may result in delays.

5. Use of Subcontractors:

5.1 DUCOR reserves the right to use subcontractors. All subcontractors will be screened to ensure they meet DUCOR's standards for quality and confidentiality.

6. Insurance:

6.1 DUCOR has business liability insurance that covers any damages arising directly from DUCOR's actions in connection with the delivery of video production services.

7. Cancellation and Rescheduling Policy:

7.1 The Client has the right to reschedule a planned shoot without additional costs, provided the rescheduling occurs more than 48 hours before the agreed time. For cancellations or rescheduling less than 48 hours before the planned shoot, a fee of 50% of the total cost of the shoot will be charged. For cancellations or rescheduling less than 24 hours before the planned shoot, a fee of 75% of the total cost of the shoot will be charged. These fees partially cover DUCOR's preparation costs and lost work.

7.2 Should there be additional costs from third parties as a result of the client's cancellation or rescheduling (e.g., locations, actors, or specially rented equipment), these costs will be fully charged to the Client. The Client commits to covering these extra costs, as a direct consequence of the cancellation or rescheduling, to ensure that DUCOR does not incur unforeseen losses.

8.1 Payment:

8.1 Invoicing for half of the project occurs after the shooting day.

8.2 Prices exclude VAT and transportation.

8.3 Payment must be made in accordance with the terms specified on the invoice.

8.4 In case of late payment, a reminder fee of 100 DKK, a compensation fee of 310 DKK, and interest according to Danish legislation will be charged.

9. Other Provisions:

9.1 The offer is valid for 30 days after receipt of the offer.

10. Dispute Resolution:

10.1 Any disagreements between DUCOR and the Client arising during or after the project's completion will first be attempted to be resolved through negotiation. If a solution cannot be reached, the dispute shall be settled according to Danish law in the Copenhagen City Court.

11. Update of Terms and Conditions:

11.1 DUCOR reserves the right to update and change the terms and conditions at any time. Any changes will take effect immediately after they have been communicated to the Client. It is the Client's responsibility to stay informed about the current terms and conditions. Continued use of DUCOR's services after such changes constitutes acceptance of the updated terms by the Client.
